End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee," "you," or "your") and Mikhail Eremeev ("Licensor," "we," "us," or "our") for the use of the Cüe software application (the "Software").

1. License Grant
Subject to your compliance with this EULA and payment of the applicable license fee, Licensor grants you a:
- Limited: Only the rights expressly granted herein
- Non-exclusive: Licensor may license to others
- Non-transferable: Cannot be sold or transferred (except as provided below)
- Non-sublicensable: Cannot be sublicensed to others
- Perpetual: Valid for the lifetime of the Software version
- Personal: For your personal, non-commercial use only
license to install and use Cüe on one (1) macOS device that you own or control.
2. License Activation via Polar.sh
License Key Delivery: Upon successful payment, Polar.sh (our payment processor) will automatically:

Generate a unique license key in the format
CUE_XXXX-XXXX-XXXX-XXXX - Email the license key to your purchase email address
- Make the license key available in your Polar customer portal
Activation Limit: 1 Device
Your license is limited to one (1) active device at a time. This means:
- You may install Cüe on only one Mac at a time
- The license key will be validated against Polar's activation servers
- Attempting to activate on a second device will fail until the first device is deactivated
Self-Service Deactivation
You can transfer your license to a different device yourself:
- Go to your Polar customer portal (link in purchase email)
- Find your Cüe license under "License Keys"
- Click "Deactivate" on the current device
- Activate on your new device using the same license key
No support needed: You do not need to contact us to transfer your license. The self-service portal handles this instantly.
License Verification
When you activate Cüe:
- The application connects to Polar's license verification API
- A hash of your license key is transmitted (not the full key)
- Polar verifies the key is valid and not in use elsewhere
- Activation is granted or denied based on the response
Ongoing verification: Cüe may periodically verify your license status. An internet connection is required for initial activation and may be required for continued use.
3. License Restrictions
You agree NOT to:
- Copy or reproduce: Make copies of the Software except for one backup copy
- Modify or adapt: Translate, reverse engineer, decompile, disassemble, or create derivative works
- Distribute: Sell, rent, lease, sublicense, loan, or otherwise distribute the Software or license keys
- Share license keys: Share your license key with any other person or device
- Circumvent protection: Bypass, disable, or circumvent license verification or activation mechanisms
- Remove notices: Remove or alter any proprietary notices or labels on the Software
- Commercial use: Use the Software for commercial purposes (e.g., service bureau, training, rental)
- Illegal purposes: Use the Software for any unlawful or prohibited purpose
4. Intellectual Property Ownership
Cüe and all intellectual property rights therein are and shall remain the exclusive property of Mikhail Eremeev. This EULA does not convey any ownership rights to you.
Included rights:
- Copyright in the Software code and structure
- Trademarks in the Cüe name and logo
- Trade secrets in the Software architecture
- Patent rights (if applicable)
Nothing is sold: You are purchasing a license to use the Software, not ownership of the Software itself.
5. Term and Termination
Effective date: This EULA is effective from the date you first use the Software and continues perpetually unless terminated.
Termination by You
You may terminate this EULA at any time by:
- Ceasing all use of the Software
- Deleting all copies of the Software from your devices
- Destroying any backup copies
Termination by Us
We may terminate this EULA and your license immediately, without prior notice, if you:
- Breach any term of this EULA
- Share your license key with others
- Attempt to circumvent license verification
- Use the Software for illegal purposes
- File a chargeback without first contacting us
Effect of Termination
Upon termination:
- Your license rights cease immediately
- You must cease all use of the Software
- You must delete all copies of the Software
- License key is revoked and invalidated
- Sections on ownership, warranties, liability, and governing law survive termination
6. Updates
Free updates included: Your license includes free updates within the same major version (e.g., from 1.0 to 1.x).
Major versions: We reserve the right to release future major versions (e.g., Cüe 2.0) as separate paid products. Your license does not automatically include future major versions.
Update delivery: Updates are delivered via:
- In-app updater (automatic notification)
- GitHub Releases page
- Polar customer portal (downloadable files)
No guaranteed features: We may add, modify, or remove features in updates at our discretion. We do not guarantee that any specific feature will be included.
7. Disclaimer of Warranties
AS-IS Basis: CÜE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
No warranties: Licensor disclaims all warranties, including but not limited to:
- Warranties of MERCHANTABILITY
- Warranties of FITNESS FOR A PARTICULAR PURPOSE
- Warranties of NON-INFRINGEMENT
- Warranties of TITLE
- Warranties that the Software will be uninterrupted or error-free
- Warranties that defects will be corrected
- Warranties that the Software is free of viruses or harmful components
Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you.
8. Limitation of Liability
Limitation: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIKHAIL EREMEEV BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE CÜE.
Included damages: This includes but is not limited to:
- Loss of profits or business
- Loss of data
- Business interruption
- Computer failure or malfunction
- Loss of goodwill
- Cost of substitute software or services
- Any other commercial damages or losses
Liability cap: LICENSOR'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID FOR THE SOFTWARE.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Mikhail Eremeev from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Software
- Your violation of this EULA
- Your infringement of any third-party rights
- Your distribution or sharing of the Software
10. Export Control
You agree to comply with all applicable export laws and regulations of the United States and other countries.
You may NOT download, use, or export the Software:
- To any country subject to U.S. trade embargoes or sanctions (currently including Cuba, Iran, North Korea, Syria, and Crimea)
- To any person or entity on U.S. government denied lists (e.g., Entity List, Specially Designated Nationals)
- For any purpose prohibited by export laws (including nuclear, chemical, or biological weapons development)
By using the Software, you represent and warrant that you are not located in a sanctioned country and are not prohibited from receiving software under applicable export laws.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the country of residence of Mikhail Eremeev, without regard to conflict-of-law principles.
Any disputes arising out of or relating to this EULA shall be resolved in accordance with the dispute resolution provisions in the Terms of Service.
12. Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
13. Waiver
Our failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the Licensor.
14. Assignment
By you: You may not assign or transfer your rights under this EULA without our prior written consent. Any attempted assignment without consent is void.
Exception for device transfer: You may transfer the Software to a different device that you own or control by deactivating on the old device and activating on the new device via Polar's customer portal.
By us: We may assign our rights under this EULA without restriction, including in connection with a sale of assets, merger, or other business transfer.
15. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and the Developer regarding the Software and supersedes all prior or contemporaneous agreements, representations, and warranties.
